One of the intentions of the Mari-Med Corporation and the Mari-Med Foundation is to is to prevent any single individual or group of individuals from having unbridled power over foundation or corporate assets. Why? Because money and power are intimately interconnected, and because time and time again, history has proven that humans do not have the capacity to handle unrestricted power. Money is a very potent tool that can be used for the benefit of people or as a tool for repression and enslavement as it in now being done in all too many places and ways. To countermand this problem, we have placed major safeguards in the foundation's bylaws. The goal is to prohibit any single individual or group of individuals from stealing, destroying, or in any way damaging the original capital, or from lining their pockets with the foundation's money, or from playing favorites with the foundation's assets in exchange for personal benefits. The foundation is designed to prevent special interest groups from using the foundation's assets for any purpose other than to enhance the lives and well being of the foundation's named beneficiaries. . |

. . A Four-Part Structure: The Mari-Med Foundation is being designed and set up using a four-part configuration. Three parts/branches/aspects of the foundation are based upon that which was originally used up by America's Founding Fathers, Legislative, Executive, and Judicial. One branch (the Legislative / Rule-makers) determines the what, why, and how of the foundation. A second branch (the Executive / Managers) administers the foundation on a day-to-day basis, and a third branch (the Judicial / Arbitrators) oversees the foundation and resolves any disputes. Adding the Fourth Part: To this basic structure, the Mari-Med Foundation is adding a fourth branch, (The Reality-Checkers). The job of the Reality-Checkers is to examine and oversee the activities of both the non-profit Mari-Med Foundation and the profit-making Mari-Med Corporation. One of The Reality-Checkers jobs is to examine available evidence and share with the other three leadership teams what the evidence indicates is the long-term best interests of everyone, including Mother Nature. By instructions mandated in the foundation's by-laws, The Reality Checkers have access to all financial and all transaction records for both the foundation and the corporation. The Reality-Checkers will also examine and weigh the indirect and usually hidden costs of the activities of both the foundation and the corporation - costs such as environmental destruction. The new management structure will eliminate the highly-destructive corporate mandate of Profits at Any Price. It will also eliminate the traditional corporate war between labor and management. The Goal: The goal of the Mari-Med Foundation is to demonstrate the foundation portion of the new, simple, easy-to-implement New Corporate World foundation's win-Win business structure. This previously ignored corporate management structure, when accepted by the corporate world, will return billions of dollars to the working class and give corporate employees, corporate customers, and the environment equal priority with making a profit, plus provide several additional and extremely-valuable benefits. In the the Mari-Med Foundation, the opposite is true. The members of all four branches are elected by the foundation's beneficiaries. The beneficiaries are similar to the "owners" of the assets in the sense that they receive the benefits. (There aren't any owners in a foundation; the people for whom the trusts were set up are called beneficiaries -- they get the benefits.) The beneficiaries, in this example, are the employees of the foundation, the employees of the corporation, and the people for whom the Mari-Med Foundation will provide financial assistance so that they can receive the benefits (the products and services) of medical marijuana.. In their annual meetings and by majority vote, the corporate and foundation employees can re-elect or remove the people who manage the foundation and the corporation. Checks and Balances: The foundation's Rule-Makes and the Arbitrators, and the Reality-Checkers, collectively, have the power to veto actions of the Managers and, if necessary, remove and replace any management people who are not operating in the best interest of all concerned. By a vote called for by any member of any of the other three branches, ( Rule-Makes, Arbitrators, and Reality-Checkers ) management decisions may be vetoed, and/or members of Management can be removed. The bottom-line intention is that those for whom the foundation was set up (the beneficiaries) be able to protect their assets and to indirectly (by electing the member of the four foundation branches) oversee how the foundation is run. In terms of who may participate in the foundation, entry into the foundation may be open or restricted in any way that the foundation's beneficiaries choose by majority vote at their annual meetings. . |

. . The the Mari-Med Foundation is required to maintain ownership of at least fifty-one percent of profit making entity, the Mari-Med Corporation. The purpose of this ownership is to maintain a controlling interest in the profit-making corporation. In a traditional corporation, the corporate executives answer to the stockholders whose main interest is, all too often their only interest, is profits. As controlling owner of the Mari-Med Corporation, the foundation can direct the company to fulfill the foundations intent and purposes for being without having to withdraw money to pay stockholders. For example, one of the foundation's intentions is to re-direct the money that is usually siphoned off by stockholders. . As clearly stated in the foundation's bylaws, the Mari-Med Foundation is required to maintain ownership of a minimum of fifty-one percent of the Mari-Med Corporation stock. Nine percent of the corporate stock will go to the team members that originally create, develop, and sets up the Mari-Med Corporation. Forty percent can be sold to investors. The nine percent that belongs to the corporation's creators and developers will not simply be given to the people involved to cash in, to spend, or to otherwise use for in-the-moment desires. Rather, it will be their initial investment in the corporation's retirement trust. . Readers must understand that this project is neither a magic bullet nor a quick fix. Collectively, humans have spent years creating the circumstances and the conditions that exist today, so it's going to take some time and some effort to turn this around. We have reached the point where a new course of action is desperately needed.
